1. General Terms
1.1 Service Overview:The LLP provides advertising platform services for screen-based digital campaigns and other related services.. 1.2 Acceptance of Terms:
The use of the LLP’s services constitutes acceptance of these Terms and Conditions. 1.3 Content Compliance:
All advertising content must adhere to applicable legal, regulatory, and industry standards. The LLP reserves the right to reject, modify, or remove content deemed inappropriate, offensive, or non-compliant. 1.4 Amendments: The LLP reserves the right to modify these Terms and Conditions at any time. Updates will be communicated or published on the LLP’s website. Continued use of services constitutes acceptance of revised terms.
2. Booking and Payment Policies
2.1 Booking Confirmation:
- A campaign request is considered only after the Customer accepts Customer declaration and makes payment as per agreed terms.
- Confirmations are subject to availability of slots and final approval by the LLP.
- Full payment must be made at the time of booking only then the campaign will be confirmed subject to approval by the LLP.
- Entities who are liable to deduct TDS on advertising services, shall deduct TDS at the rate of 2% (excluding GST) (the customer has to consult their tax consultant for applicability) and deposit the same with Tax Authorities. The customer is required to e-Mail TDS certificate along with the booking details to the LLP on accounts@adavtar.in. After verifying the same, a refund for the TDS deposited will be credited to the customer in the original payment method.
- No TDS certificates for the previous financial year will be accepted if sent after June 15 of the current financial year. For example, TDS certificates for fiscal year 2024—2025 should be sent no later than June 15, 2025.

- Campaign Modification: Any Campaign modification requests by customer will be subject to availability and a fee of 3% of the booking amount subject to a minimum of Rs. 300 would be charged. Modification includes, change of creative, change of campaign duration (provided that the total campaign days remain the same), change of screens or any other changes in booked campaign.
- Note: Change in Campaign duration will be treated as Cancellation of booking and will be covered by Cancellation policy, please refer the same for further information.
- Booking via Call: While our website offers a seamless and user-friendly booking process, customers who prefer to book via phone will incur an additional charge of 3% of the booking amount, subject to a minimum fee of Rs. 500.
- Campaign Proof (Photographic Evidence): A digital log serving as proof of the campaign will be provided at no additional cost. However, if the customer requires actual photographs of their campaign being displayed in-store or on the premises, an additional fee of Rs. 800 per screen will be charged by the LLP to cover the cost of on-site verification.
3. Cancellation and Refunds

4. Campaign Content and Delivery
4.1 Content Submission: - All advertising content must be submitted in the prescribed format at least 24 hours prior to the campaign start time. Any delay in submission may affect the campaign schedule, and the Customer shall bear full responsibility for such delays.
The Customer warrants that all submitted content is original and free from intellectual property infringements. The LLP will not be held liable for content-related disputes.
4.3 Negative list Advertisements
Some categories of Advertisements are not allowed on our platform, some of which include - Tobacco, liquor, pan masala, crypto, online gaming, share market courses or tips, abusive/ controversial content, any religious ads, any advertisement not allowed under any statute or by any Government Body, or any Advertisement deemed unsuitable by the LLP.
Please note that the LLP has the right to include or exclude any nature of business in this list without any prior notification. Please note further that the LLP can reject any advertisements which the LLP deems unfit.
4.4 Performance Metrics:
The LLP does not guarantee specific performance metrics, such as impressions or engagement rates, unless explicitly stated in writing.
The footfall and visibility data provided by the LLP are intended for informational purposes only. While the LLP strives to offer the best possible estimates, this data is tentative and should not be considered accurate or definitive. External factors and variations may influence actual figures, and the LLP assumes no responsibility for decisions made based on this information.
5. Use of Digital Screens
5.1 Ad Placement:The placement of advertisements will be based on availability.
5.2 Content Adjustments:
To maintain relevance, the LLP reserves the right to adjust advertisement schedules to optimize campaign effectiveness.
5.3 Screen Downtime:
In the event of screen outages or technical issues, the LLP will make reasonable efforts to restore operations.
6. Customer Responsibilities
6.1 Accurate Information:The Customer must provide accurate and complete details during registration and campaign booking.
6.2 Identity Verification:
Before finalizing a booking, the Customer must complete identity verification, including submitting:
- Email ID and phone number
- PAN
- GST details (mandatory if applicable)
- Industry category and scanned copies of relevant documents
The Customer agrees to comply with content guidelines provided by the LLP. The customer should read and accept terms and conditions in the declaration form to proceed with the campaign booking.
7. Vendor Registrations and Customer Suggestions
7.1 Vendor Registration:Vendors can register via the “Partner with Us” page by providing:
- Name, GST, PAN details
- Business category and footfall data
- Photos of the shop from inside and outside
- Scanned documents of PAN, GST Certificate, Proof of ownership in case of owned shop or rent agreement, and canceled cheque.
All vendor registrations are subject to a field visit and verification process before onboarding.
7.3 Customer Suggestions:
Customers may suggest new screen locations for advertising. The LLP will evaluate these suggestions for feasibility.
8. Privacy and Data Protection
Kindly refer to “Privacy and Data Protection” policy.
9. Liability
9.1 Service Interruptions:The LLP is not liable for interruptions in service due to unforeseen circumstances, including technical failures or third-party issues.
9.2 Limitations of Liability:
The LLP’s liability is limited to the amount paid for the affected campaign. Indirect or consequential damages are excluded.
9.3 Customer Indemnity:
The Customer agrees to indemnify the LLP against claims arising from non-compliant or unauthorized content.
9.4 Services limited to Brand Visibility:
The LLP provides a platform to enhance brand visibility through digital advertising. While we ensure optimal exposure of your content, we do not guarantee customer engagement, conversions, or direct sales. The effectiveness of advertisements depends on various external factors, including audience behavior, market trends, and industry competition. Ad Avatar shall not be held liable for specific business outcomes resulting from any campaign.
10. Termination/Cancellation
10.1 Termination by the LLP:The LLP reserves the right to terminate a campaign for violations of these Terms and Conditions.
10.2 Cancellation by the Customer:
The Customer may cancel their campaign, subject to the “Cancellation and Refund Policy”.
11. Dispute Resolution
11.1 Resolution Process:Both parties agree to resolve disputes amicably. If unresolved, disputes will be subject to arbitration in local jurisdiction of the LLP.
11.2 Governing Law:
This Agreement is governed by the laws of India.
